Overview

Reporting to the Executive Vice President, Corporate Development & Legal & Chief Legal Officer, the Senior / Legal Counsel role will be responsible for providing a broad range of commercial and operational support and services including commercial and contract law, compliance matters, competition law, privacy law, environmental law, real estate law and mergers and acquisitions.

This role will also provide support on intellectual property law and corporate governance matters as required. Our ideal candidate would be a strong and balanced negotiator and legal strategist who can find solutions that meet both our legal and operational objectives.

This role will closely interact with our business development and operational teams and our stakeholders to ensure the intent and goals of our agreements are legally and commercially sound, documented, and finalized.

The candidate needs to be a problem solver, not a gate-keeper and needs to be comfortable working amongst various jurisdictions.

Role Responsibilities

  • Contributes as the main resource providing legal support and advice to internal and external stakeholders
  • Reviews, drafts, develops, and negotiates commercial and strategic transactions including NDA’s, MTA’s, CRA’s, JDA’s, and licensing agreements based on business unit team’s feedback to meet corporate objectives
  • Participate proactively in core teams on projects and proceedings, including developing and executing contracting strategies and major initiatives.
  • Educate business partners about legal matters and developments relevant to their business

  • Facilitates decision making by preparing concise legal briefing documents with conclusions and recommendations
  • Risk management : proactively identifies and communicates the legal and business impacts of agreements in place and in contemplation
  • Acts as the internal advisor and educator for ensuring confidentiality and IP protections are in place, known, and monitored
  • Develops and maintains forms and agreement templates ensuring they are up-to-date with applicable laws and best practices
  • Maintains and manages listing of all legal agreements and obligations
  • Liaise and develop effective relationships with internal stakeholders at all levels of the organization. Interact with and represent the organization with external stakeholders who may include government bodies and ministries, financial institutions, external counsels
  • Keeps current in their practice and proactively acts on legal matters that impact our business
  • Health & Safety Responsibilities

  • Promote Westport’s H&S culture by leading by example in relation to Environmental, H&S policies and procedures and understand your obligations and responsibilities as it relates to applicable H&S Acts and Regulations
  • Enforce Westport’s H&S policies and procedures, encourage safe work practices, correct unsafe acts or conditions, conduct formal and informal workplace inspections
  • Immediately respond to, investigate and take action from reports of unsafe conditions and / or behaviors
  • Position Requirements

  • Bachelor of Laws / Juris Doctor degree (LLB / JD) and member in good standing with Law Society in Canada / Netherlands
  • 5+ years of experience in commercial law; industry experience is an asset
  • Highly skilled negotiator and team player who proactively finds solutions and skillfully brings consensus to the best path forward
  • Demonstrated ability to engage and to complete transactions quickly and effectively, while balancing business expectations with legal and regulatory compliance objectives in an efficient and effective manner
  • A results-oriented business partner focus is essential, with the ability to provide sound and practical legal advice in a fast-paced changing environment and effectively manage several projects simultaneously
  • Demonstrated strong communication skills with the ability to influence and communicate effectively across the company and externally at all levels
