Big Pharmaceutical Company based in MilanPrimary day to day responsibilities will include :

  • Managing and advising on all legal and compliance matters concerning the operations in Italy and ensuring that all material legal and compliance issues are promptly identified, effectively addressed and, if appropriate, communicated or escalated internally.
  • Enabling and driving ethical business conduct through the effective implementation of the Integrity & Compliance program at the local level.
  • Key areas of work will include :

  • LEGAL Legal assistance to local VC / SX / enabling functions teams.Reviewing and advising on all legal aspects of promo, marketing and advertising materials, ensuring compliance with relevant local legislation.
  • Drafting, negotiating, and reviewing a wide range of contracts (including sales, distribution, agency, confidentiality, supply, service, etc) & engagement letters.

    General legal advice on daily questions, including antitrust issues.Support in the management of litigation.Coordination of the activities of external lawyers.

    Keeping up to date with all relevant local laws and working closely with the European Legal team.Support in the management of privacy issues, continuing to embed 's global GDPR compliance programme.

    Intellectual Property : Working closely with the Global IP and Trademarks legal teams, managing the local intellectual property and trademarks portfolio.

    Labour law : support on employment and labour law related matters, such as union relationships, employee data privacy matters, and legal implications of other employee arrangements.

    Support in the management of Company Secretarial Matters.Proactive Sharing of 'Best Practices,' Knowledge and Legal Risk Management Strategies with colleagues, delivering training to the business as appropriate, and identifying and implementing simplification and efficiency initiatives to improve ways of working in delivering legal support to the business.

    Case law researches & doctrine updates.Administrative activities (management of POs, invoices, official correspondence, etc).

  • COMPLIANCE Compliance assistance to local VC / SX / enabling functions teams.Establishing compliance standards based on internal policies and guidelines / implementing procedures and applicable local laws and regulations incl.
  • In particular 231 / 2001 Decree on Company Responsibility and industry code, where applicable.Establishing processes and SOPs for relevant policies.

    Ensuring on-boarding and specific trainings as well annual refreshers on compliance standards and business practices.Actively involving country / region leadership to leverage integrity messages and to maintain high level of awareness, spreading a culture of integrity throughout the organization and continually providing advice and guidance to the business on compliance topics.

    Keeping up to date with all relevant local laws and working closely with the European Compliance team.Supporting 231 Committee activities and healthcare-specific compliance such as interactions with health care providers and professionals.

    Assessing risks, informing country leadership on identified compliance risks and sharing the miti-gation risk plan, informing Global / Regional Compliance Head and Country Management of areas which represent a material compliance or reputational risk where appropriate.

    Conducting self-assessments to monitor the status of the compliance program, within the respective division at local level.

    Regularly updating country leadership and regional / global compliance (of respective division) on the status of the compliance program.

    Involvement in third-party due diligence process together with relevant functions.Participation to Trade association working groups.

    Minimum 10 years PQE Italian Legal qualification and experience. Preferable with professional background in pharmaceutical Companies and / or international law firms.

  • It's important to have : - strong commercial understanding;- costumer focus;- good drafting skills;- proven problem solving and analytical skills;
  • high level of oral and written English.
