PRIMARY FUNCTION :
M&A in CNH Industrial aims at developing and executing inorganic growth opportunities to meet strategic Company objectives.
Activities includes typical corporate development tasks : acquisitions, divestitures and JV deals, venture capital, private equity, minority investments and management of intellectual property (e.
g. trademark and technology licensing).
The M&A Manager supports the assessment and execution of M&A and other inorganic transaction or investment opportunities across CNHI’s Segments.
The M&A Manager works collaboratively mainly with the M&A team, Strategy and Segments departments.
ESSENTIAL RESPONSIBILITIES :
Opportunity scouting and feasibility assessment : Perform industry research activities; Proactively identify key findings from the analyses performed;
Collaborate to decision making on projects feasibility by framing complete evaluations, identifying possible deals and alternatives;
Assist preparation of detailed business cases and documents to Management for approval ensuring alignment of all involved functions.
Valuate Target Companies : Assess target, including financial performance and operational fit to CNHI Support preparation of stand-
alone valuation analysis (e.g. DCF and comparable companies) and post integration scenarios; Coordinate due diligences and report key findings;
Propose possible transaction structures.
Contribute to deal completion : Define and follow up action plans with project’s team members to ensure on-time deliverables;
Prepare deal negotiations and contracts together with legal department and all involved functions; Regularly update Management and ensuring successful completion of M&A projects.
Prepare presentations for Senior Management review and approval Management, with high level of accuracy.
QUALIFICATIONS / REQUIREMENTS (including education & years of experience) :
Master’s Degree, preferable in Economics or Engineering;
MBA is a plus;
5-10 years of working experience in Corporate Development, Investment Banking, M&A Advisory, Private Equity, Management Consulting, Audit;
Strong understanding of industry and competitor assessment, financial modeling, valuation techniques, proven track of project management, reasonable knowledge of legal standards applicable to deals with external parties;
Solid experience in international environments, exposure to Industrials, Automotive or Capital Goods Industry is a plus;
Business acumen, creativity, problem solving, flexibility, analytical mindset, deadline-driven as a way of life;
Ability to work with a wide spectrum of people inside and outside the Company, at different levels with different cultures and to develop strong and trustful relationship with Company managers and partners;
Leadership, work-ethics, confidentiality, capable to structure problems and deliver even with a vague brief and limited guidance, ability to manage multiple priorities simultaneously and to work independently with minimal supervision;
Excellent communication and interpersonal skills;
Open to frequently travel;
Excellent knowledge of Microsoft Excel and PowerPoint is a must
Fluent English is a must;
Fluency in Italian and / or other languages is a plus.
