Description Provides legal advice and counsel to the business partners (Administration & Finance, Purchasing, EH&S, Supply Chain, IT and all functions of the Group fine chemical manufacturing plant), as well as to other Legal & Compliance team members within in the area of law of his / her competence, as defined by the Head of Legal & Compliance.

Draft commercial agreements for the business partners and assist them in the contract negotiation. Accountabilities

  • Serving as legal counsel on significant matters with direct business partner interaction by providing research, advice and other legal assistance to the business partners (Administration & Finance, Purchasing, EH&S, Supply Chain, IT and all functions of the Group fine chemical manufacturing plant) and colleagues in the Legal & Compliance team in the areas of corporate / company law, Privacy / Data Protection and EH&S;
  • Maintaining corporate records for the companies of the BI group in Italy and other aspects of the corporate secretary function;
  • Assisting in the preparation of Board of Directors and shareholder meetings;.

  • Assisting the business partners with the negotiation and / or drafting / reviewing of commercial agreements as needed;
  • Coordinating with outside counsels, manage litigations and disputes, also by effectively managing outside counsels and legal budget;
  • Support the Local Compliance Program by acting as Subject Matter Expert (SME) for the area of Data Protection and Insider Trading with responsibility for policy development, implementation and training.
  • Qualifications

  • JD and at least 6+ years practicing law at a major law firm and / or life sciences company with significant relevant pharmaceutical experience or at a company in a highly regulated industry;
  • Ability to analyze and advise the business on consideration and implementation of appropriate and practice legal strategy;
  • Sound legal and business judgment with the ability to problem-solve in a high-output, fast-moving environment;
  • Customer-focused and ability to interact with all levels of the organization;
  • Deep understanding of Italian corporate / company law (Italian civil code and related laws), Italian Data Protection law, D.
  • Lgs. 81 / 2008. Knowledge of the Code of Medicine and Industry Association Code.

  • Exceptional interpersonal, written and oral communication skills; Planning and Project Management skills
  • Admission to the Italian Bar a plus
